Terms of Service

1. General provisions

  1. These Terms of Service (hereinafter: “Terms”) define the rules and conditions for using the “Lapu AI” application (hereinafter: the “Application”) and the services provided by the Service Provider.
  2. The Application is a desktop AI assistant designed for professional and personal use. It enables users to interact with built-in AI to assist with coding, writing, analysis, and other tasks, running locally on the user's machine.
  3. The Service Provider is Lapu AI (contact: [email protected]).
  4. Before using the Application, the User is required to read and accept these Terms and the Privacy Policy.

2. Definitions

Capitalised terms used in these Terms have the following meanings:

  1. Account — a panel created in the Application's system that allows the User to access its features and manage their subscription.
  2. Application — the Lapu AI desktop software, including all updates and patches provided by the Service Provider.
  3. Pricing — the document or information specifying the current price of the Service, the Subscription Period, the plan tier, and other conditions as published at lapu.ai/dashboard/plans.
  4. Service — the digital service consisting of providing the User with access to the functionality of the Application in accordance with the selected plan.
  5. Service Provider — Lapu AI, the entity operating the Application.
  6. Subscription Fee — the fee paid by the User in advance for the Service, determined according to the Pricing in effect at the time of purchase.
  7. Subscription Period — the period for which the Service Provider makes the Service available to the User, as specified in the Pricing.
  8. User — any natural or legal person using the Application.
  9. User Content — any data, files, information, and materials stored by the User on their Account or processed through the Application.

3. Technical requirements and acceptable use

  1. To use the Application, you need: (a) a compatible desktop operating system (macOS, Windows, or Linux), (b) an active internet connection for AI model access and account management, (c) an active email address, and (d) the Application installed on your device.
  2. Users must not use the Application to: deploy viruses, bots, worms, or other malicious code; reverse-engineer, decompile, or disassemble any part of the Application; or automate access in an unauthorized manner.
  3. The Service Provider employs cryptographic protection of data transfers, including SSL/TLS encryption and access credentials, to prevent unauthorized third-party access.
  4. Despite the safeguards described above, the User acknowledges that use of the internet and electronic services inherently carries the risk of malicious software or unauthorized access. The Service Provider recommends the use of up-to-date antivirus software and strong, unique passwords.
  5. The User is obligated to provide accurate and truthful data. The Service Provider is not responsible for consequences arising from the User providing false or incomplete information.

4. Service agreement

  1. Under this agreement, the Service Provider enables the User to access the Application's functionality in accordance with the selected plan in the Pricing.
  2. To create an Account, the User must: (a) visit the Lapu AI website or open the Application, (b) fill in the required registration details, (c) accept these Terms and the Privacy Policy, and (d) confirm registration via the activation link sent to the provided email address.
  3. Completion of registration constitutes the conclusion of an agreement between the User and the Service Provider on the terms set out in these Terms.
  4. After registration, the User may select a paid plan from the Pricing to access premium features. Selection of a paid plan and successful payment constitutes a paid Service agreement.
  5. Maintaining the Service in conformity with this agreement requires the User to install updates when prompted by the Application.
  6. If the Service Provider fails to provide access to the Service promptly after the agreement is concluded, the User may request immediate access. If access is still not provided within a reasonable time, the User may withdraw from the agreement.
  7. The User may terminate the agreement at any time by submitting a deletion request to [email protected].
  8. In the event of a breach of these Terms that is not remedied after a written notice, the Service Provider may terminate the agreement with 7 (seven) days' notice. During the notice period, the Service Provider may restrict access to the Application if necessary to prevent further violations.
  9. Upon termination, the Account is archived and subsequently deleted after a 90-day retention period. The User may request earlier deletion.
  10. The User has the right to request: (a) an export of server-held account data (account information, settings, and billing history) in a standard format (JSON/CSV), and (b) transfer of such data to another system. Conversation history and generated content are stored locally on the User's device and are not available for server-side export. Data export requests are fulfilled within 30 days of receipt.

5. Payments and billing

  1. Prices in the Pricing are expressed in US Dollars (USD) and do not include applicable taxes, which will be added where required.
  2. All payments are processed through the payment systems made available within the Application, unless individually agreed otherwise.
  3. The Subscription Fee is payable in advance for each Subscription Period in accordance with the Pricing in effect at the time of purchase. Changes to the Pricing do not affect fees for Subscription Periods already purchased.
  4. The Subscription Fee is charged automatically and recurrently at the beginning of each Subscription Period.
  5. Failure to pay the Subscription Fee will result in suspension of access to paid features until payment is received.
  6. The Service Provider may change the Pricing at any time. Price changes do not affect agreements concluded before the change takes effect.

6. Right of withdrawal

  1. The User has the right to withdraw from the agreement without giving any reason within 14 (fourteen) days of its conclusion, provided that the User has not consumed any tokens or otherwise used the paid features of the Service during that period.
  2. By using tokens or accessing paid features (such as sending requests to AI models through a Lapu AI subscription), the User expressly consents to the commencement of the Service before the withdrawal period expires and acknowledges that the right of withdrawal is lost once tokens are consumed or paid features are used, except where mandatory law provides otherwise.
  3. To exercise the right of withdrawal, the User must send a clear statement to [email protected] before the withdrawal period expires.
  4. The Service Provider will promptly confirm receipt of the withdrawal statement by email.
  5. Upon a valid withdrawal where no tokens have been consumed and no paid features have been used, the Service Provider will delete the Account promptly and issue a full refund of the Subscription Fee. If the User has consumed any tokens or used paid features during the withdrawal period, no refund is due, except where mandatory law provides otherwise.

7. Complaints

  1. The Service provided to the User must conform with these Terms and the description of the selected plan throughout the entire period of delivery.
  2. If the User identifies a non-conformity between the Service and what was agreed, the User may submit a complaint requesting that the Service be brought into conformity.
  3. Complaints should be submitted by email to [email protected] and should include: (a) the User's name, (b) email address, (c) a description of the non-conformity, and (d) the requested resolution.
  4. The Service Provider may decline to bring the Service into conformity if doing so is impossible or would require disproportionate costs.
  5. The Service Provider will respond to complaints by email within 14 (fourteen) days of receipt, either: (a) acknowledging the complaint and stating a planned resolution timeline, (b) declining due to impossibility or disproportionate cost, or (c) rejecting the complaint as unfounded.
  6. If the non-conformity cannot be resolved, is not resolved within the stated timeframe, or is sufficiently serious, the User may withdraw from the agreement.

8. User content

  1. The User retains full ownership of all User Content processed through the Application. Lapu AI does not claim any ownership rights over User Content.
  2. The User is solely responsible for all User Content processed through the Application, including compliance with applicable laws and third-party rights.
  3. It is prohibited to use the Application to process content that: (a) is unlawful, fraudulent, or violates these Terms, (b) incites violence, hatred, or discrimination, (c) infringes any intellectual property rights, privacy rights, or other rights of third parties, or (d) contains malware or harmful code.
  4. The User may submit feedback and opinions about the Application. By submitting feedback, the User grants the Service Provider a non-exclusive, royalty-free, worldwide license to use, modify, and publish such feedback for promotional and product improvement purposes.

9. Use of artificial intelligence (AI)

  1. The Application uses built-in AI reasoning provided through Lapu AI. AI requests are routed to third-party model providers (such as OpenAI, Anthropic, and Google) on the User's behalf. Model selection and API credentials are managed by Lapu AI — no configuration is required from the User.
  2. The User acknowledges that outputs generated by AI: (a) may contain errors, inaccuracies, or hallucinations, (b) require human verification before use, and (c) do not constitute professional advice (legal, medical, financial, or otherwise).
  3. The User agrees to: (a) verify all AI-generated outputs before relying on them, (b) not rely exclusively on AI-generated content when making important decisions, and (c) comply with all applicable transparency requirements when sharing AI-generated content.
  4. Data entered into the Application may be transmitted to external AI providers for processing. Lapu AI may use de-identified or aggregated prompt metadata to improve its products and train or fine-tune models that power the Service, as described in the Privacy Policy. Raw, identifiable prompts and AI responses are not used for training. Third-party providers' own data use policies apply.
  5. The Service Provider is not liable for: (a) business decisions made based on AI outputs, (b) intellectual property infringement arising from AI-generated content, or (c) damages resulting from incorrect AI recommendations or outputs.
  6. AI-generated content belongs to the User to the extent permitted by applicable law, subject to the rights of the AI underlying model providers. The User acknowledges that AI-generated content may not qualify for copyright protection and that similar content may be generated for other users.
  7. The User is responsible for: (a) verifying that AI-generated content does not infringe third-party rights, and (b) labelling content as AI-generated where required by law.

10. Liability and service level

  1. The Service Provider undertakes to deliver the Service with due care and diligence.
  2. The Service Provider does not guarantee a specific level of performance, efficiency, or suitability of the Application for the User's particular needs and use cases.
  3. To the maximum extent permitted by applicable law, the Service Provider shall not be liable for:
    1. any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities;
    2. use of the Application or its features in a manner inconsistent with their intended purpose;
    3. consequences arising from incorrect or false data provided by the User;
    4. unauthorized access to the User's Account resulting from the User's disclosure or insufficient protection of access credentials.
  4. The Service Provider is not responsible for disruptions to the Application caused by: (a) force majeure, including unavailability of third-party AI provider APIs or regulatory actions restricting certain AI models, (b) necessary maintenance work, (c) causes attributable to the User, or (d) causes beyond the Service Provider's reasonable control.
  5. The Service Provider will endeavour to perform maintenance with minimal disruption to Users and to provide advance notice of planned work whenever possible.
  6. After termination of the agreement, the Service Provider: (a) provides access to server-held account data (account information, settings, billing records) for 90 consecutive days, and (b) deletes that data after the retention period — earlier deletion is available on request. Data stored locally on the User's device is not affected by termination.

11. Intellectual property

  1. All elements of the Application, including its name, logo, graphics, interface design, source code, and databases, are protected by applicable intellectual property laws.
  2. The Service Provider grants the User a limited, non-exclusive, non-transferable, revocable license to use the Application for personal or business purposes in accordance with these Terms.
  3. Any use of the Service Provider's intellectual property without prior written permission, in violation of these Terms, is prohibited.

12. Personal data

Information about the processing of personal data by the Service Provider is contained in the Privacy Policy.

13. Service modifications

  1. The Service Provider may modify the Service in order to: (a) adapt it to new devices or software, (b) improve or add new functionality, or (c) comply with legal obligations.
  2. Service modifications will not result in any additional costs to the User.
  3. The Service Provider will inform the User of modifications via the Application dashboard or by email.
  4. If a modification materially and negatively affects access to the Service, the Service Provider will inform the User of the nature and timing of the modification and of the User's right to terminate the agreement with immediate effect within 30 (thirty) days of the modification. Such notice will be provided at least 7 (seven) days before the modification takes effect.

14. Changes to these Terms

  1. The Service Provider may amend these Terms in the event of: (a) changes to the Service Provider's scope of activity, (b) introduction of new services or modification or discontinuation of existing services, (c) technical changes to the Application requiring corresponding updates to these Terms, or (d) legal obligations requiring updates.
  2. The User will be informed of changes via the Application and by email. The updated Terms will be published on the Lapu AI website.
  3. Agreements concluded before a change to these Terms remain governed by the version of the Terms in effect at the time the agreement was concluded.
  4. A User who does not agree to a change may terminate the agreement with immediate effect within 10 (ten) days of receiving notice of the change. Failure to terminate within this period constitutes acceptance of the updated Terms.

15. Dispute resolution

  1. The parties will endeavour to resolve any disputes arising from or in connection with these Terms through amicable negotiation.
  2. If a dispute cannot be resolved amicably, it shall be submitted to the competent courts.
  3. For Users who qualify as consumers under applicable law, mandatory consumer protection provisions of the consumer's country of residence shall apply. Consumers may also be entitled to use out-of-court dispute resolution procedures available in their jurisdiction.

16. Final provisions

  1. These Terms are effective as of March 22, 2026.
  2. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
  3. Matters not covered by these Terms are governed by applicable law.
